Terms of Use

By using this website and in exchange for receiving education and training from Beyond Insurance in the course of employment with a member agency of the Beyond Insurance Global Network (herein referred to as “MEMBER AGENCY”), I (herein referred to as “RECIPIENT”) agree to the following terms and conditions:

1. Acknowledgment of Confidential Information

Definition: “Confidential Information” means:
(i) certain materials developed by Beyond Insurance relating to the management of an insurance agency, including but not limited to client development, client relationship management, client retention, employee engagement, and client risk management (herein “Beyond Insurance Materials”); and
(ii) the methods of using those materials (herein “Beyond Insurance Know-How”).

Ownership: RECIPIENT agrees that the Confidential Information is extremely valuable to Beyond Insurance, and its unauthorized use or disclosure will cause irreparable harm to Beyond Insurance.

Property Rights: All Confidential Information, including tangible materials such as drawings, specifications, data, and other related materials obtained from or through Beyond Insurance, shall remain the property of Beyond Insurance.

Exclusions: “Confidential Information” and “Beyond Insurance Know-How” do not include information that:
(i) was publicly known before disclosure to RECIPIENT or becomes public through no fault of RECIPIENT;
(ii) was known to RECIPIENT prior to disclosure;
(iii) was disclosed to RECIPIENT by a third party legally entitled to do so; or
(iv) is independently developed by RECIPIENT without using Beyond Insurance’s Confidential Information.

Any combination of known information shall be excluded only if the combination itself is generally known or independently developed. Confidential Information proven to fall within the exclusions above shall not be identified by RECIPIENT as proprietary to Beyond Insurance.

Trade Secrets: “Trade Secret” means Confidential Information that (1) derives independent economic value from not being generally known to others who can obtain economic value from its disclosure or use; and (2) is subject to reasonable efforts to maintain its secrecy.

2. Use of Confidential Information

RECIPIENT shall use the Confidential Information only while employed by MEMBER AGENCY, and only while a license agreement between Beyond Insurance and MEMBER AGENCY (“LICENSE AGREEMENT”) is in effect.

RECIPIENT agrees to ensure that the LICENSE AGREEMENT remains active prior to using Confidential Information.

RECIPIENT shall not modify Beyond Insurance Materials without express written authorization from Beyond Insurance.

3. Disclosure of Confidential Information

RECIPIENT shall maintain the confidentiality of all Confidential Information and shall not disclose it to others without prior written consent from Beyond Insurance.

The obligation to maintain the confidentiality of Trade Secrets shall continue for as long as the information remains a Trade Secret. The obligation to maintain confidentiality for all other Confidential Information shall continue for two (2) years following termination of RECIPIENT’s employment with MEMBER AGENCY.

4. Termination

Upon termination of the LICENSE AGREEMENT, or upon RECIPIENT’s departure from MEMBER AGENCY, RECIPIENT agrees to return all Confidential Information and any copies thereof to Beyond Insurance upon request and to destroy and certify the destruction of any documents generated under this Agreement.
